Terms of Service

Effective Date: September 21, 2026
Last Updated: September 21, 2026

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT DISCLAIMERS AND LIMITATIONS OF LIABILITY AND REQUIRE MOST DISPUTES TO BE RESOLVED THROUGH INDIVIDUAL ARBITRATION. THEY ALSO INCLUDE A CLASS-ACTION WAIVER AND A WAIVER OF JURY TRIAL.

These Terms of Service ("Terms") are a binding agreement between you and JetCommerceTM ("JetCommerceTM," "we," "us," or "our"), the operator of jetcommerce.com. They govern your access to and use of jetcommerce.com and the content, forms, account features, downloads, and other functionality made available through it (collectively, the "Site"). JetCommerceTM operates from Montgomery County, Texas.

By accessing or using the Site, creating an account, submitting a form or order, or clicking to accept these Terms, you agree to these Terms and our Privacy Policy. If you do not agree, do not access or use the Site. If you use the Site for an organization, you represent and warrant that you have authority to bind that organization, and "you" includes both you and the organization.

1. Eligibility and Business Use

You must be at least 18 years old and legally able to enter into a binding agreement to use the Site. The Site and JetCommerceTM offerings are intended for commercial and business use, not personal, family, or household use. You may not use the Site if applicable law prohibits you from doing so.

2. Scope; Separate Product and Service Agreements

These Terms govern the Site only. Purchases, subscriptions, implementation, hosting, managed services, support, licensing, professional services, and other paid or customer-specific offerings may be governed by an order form, quote, statement of work, license, service agreement, or other separate agreement (a "Service Agreement"). If a Service Agreement conflicts with these Terms regarding a paid product or service, the Service Agreement controls for that conflict. A quote, proposal, or Site description is not binding unless accepted by JetCommerceTM in an authorized written agreement.

3. Limited License

Subject to these Terms, JetCommerceTM grants you a limited, revocable, nonexclusive, nontransferable, nonsublicensable license to access and use the Site solely for your internal lawful business purposes. All rights not expressly granted are reserved. This license ends automatically when these Terms terminate or when JetCommerceTM suspends or terminates your access.

4. Accounts and Security

You must provide accurate, current, and complete information and keep it updated. You are responsible for all activity under your account and for maintaining the confidentiality of credentials. You may not share credentials except with personnel you authorize and supervise. Notify us promptly through our Contact Us form if you suspect unauthorized access, credential compromise, or another security incident. We may require authentication measures, reject or reclaim usernames, and suspend access when we reasonably believe an account is insecure, unauthorized, fraudulent, or in violation of these Terms. We are not liable for loss arising from your failure to safeguard credentials or systems.

5. Acceptable Use

You will not, and will not assist or permit anyone to:

  • violate any law, regulation, court order, third-party right, or contractual obligation;
  • use the Site for fraud, deception, harassment, infringement, unlawful discrimination, or other harmful or unlawful conduct;
  • upload, transmit, or introduce malware, malicious code, harmful data, or material that is unlawful, infringing, defamatory, or otherwise objectionable;
  • probe, scan, test, bypass, disable, defeat, or interfere with security, authentication, access controls, rate limits, availability, or operation of the Site;
  • gain or attempt to gain unauthorized access to an account, system, network, or data;
  • reverse engineer, decompile, disassemble, decode, or attempt to derive source code, underlying ideas, algorithms, or nonpublic structure of any Site technology, except to the limited extent a prohibition is not permitted by law;
  • copy, modify, translate, frame, mirror, republish, distribute, sell, rent, sublicense, or create derivative works from the Site or its content except as expressly authorized in writing;
  • use bots, scrapers, crawlers, spiders, automated queries, data-mining tools, or similar means to access or extract Site content, except for ordinary search-engine indexing that complies with our robots instructions or as expressly authorized in writing;
  • use Site content, data, or outputs to train, develop, benchmark, improve, or validate an artificial-intelligence or machine-learning system, or to create a competing product or service, without our prior written consent;
  • remove or alter copyright, trademark, attribution, proprietary-rights, or security notices;
  • impersonate another person, misrepresent affiliation, or use another person's account without authorization;
  • send spam or unsolicited communications or collect information about others without lawful authority; or
  • use the Site in a manner that could expose JetCommerceTM or others to liability or materially burden, disrupt, damage, or impair the Site.

We may monitor use and investigate suspected violations to protect the Site and enforce these Terms, subject to applicable law. We are not obligated to monitor all activity.

6. Ownership and Intellectual Property

The Site and all software, text, graphics, designs, interfaces, databases, compilations, documentation, trademarks, logos, trade dress, and other content made available by or for JetCommerceTM are owned by JetCommerceTM or its licensors and are protected by intellectual-property and other laws. "JetCommerceTM" and associated names, logos, and marks may not be used without prior written permission. No license is granted by implication, estoppel, or otherwise.

If you provide ideas, suggestions, evaluations, corrections, or other feedback ("Feedback"), you grant JetCommerceTM a perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, sublicensable right to use, reproduce, modify, distribute, commercialize, and otherwise exploit the Feedback for any lawful purpose without restriction, attribution, or compensation. Do not send Feedback you are not authorized to provide.

7. Your Submissions

You retain ownership of information, files, messages, and other material you submit through the Site ("Submissions"). You grant JetCommerceTM and its service providers a worldwide, nonexclusive, royalty-free license to host, store, reproduce, transmit, display, modify, and otherwise use Submissions as reasonably necessary to operate, secure, support, and improve the Site; respond to you; enforce agreements; comply with law; and provide requested products or services. This license lasts as long as reasonably necessary for those purposes and applicable retention obligations.

You represent and warrant that you have all rights, permissions, and lawful bases necessary to provide each Submission and grant this license, and that your Submissions and our permitted use will not violate law or another person's rights. Unless a Service Agreement or signed nondisclosure agreement states otherwise, unsolicited Submissions are not confidential, and you should not submit trade secrets or other confidential or highly sensitive information through general Site forms.

8. Site Information; No Professional Advice or Reliance

Site content is provided for general informational and marketing purposes. It is not legal, tax, accounting, security, compliance, financial, or other professional advice and does not replace advice from qualified professionals. Product descriptions, illustrations, examples, roadmaps, availability statements, benchmarks, and other Site content may be incomplete, estimated, or changed without notice. You are responsible for independently evaluating information and determining whether any offering meets your requirements. Decisions made in reliance on Site content are at your own risk.

We attempt to describe offerings accurately but do not warrant that descriptions, prices, availability, or other content are complete, current, or error-free. We may correct errors, change or withdraw content, reject or cancel orders affected by an error, and issue an appropriate refund where required by law.

9. Third-Party Services and Links

The Site may contain links to or interoperate with third-party products, payment processors, analytics, customer-relationship-management tools, security tools, applications, websites, or content. Third-party services are governed by their own terms and policies. JetCommerceTM does not control, endorse, or assume responsibility for third-party availability, security, accuracy, content, data practices, acts, or omissions. Your dealings with third parties are solely between you and the third party, and you use third-party services at your own risk.

10. Privacy and Electronic Communications

Our Privacy Policy describes our processing of personal information and is incorporated into these Terms by reference. By providing contact information, you consent to receive transactional, account, security, and service-related communications electronically. Where permitted and subject to your choices, we may also send marketing communications. Electronic notices satisfy any legal requirement that communications be in writing to the extent permitted by law.

11. Availability, Changes, and Beta Features

We may modify, suspend, restrict, or discontinue any part of the Site at any time, with or without notice. The Site may be unavailable because of maintenance, failures, attacks, third-party dependencies, or circumstances beyond our control. We do not promise uninterrupted availability, compatibility, data preservation, or any service level under these Terms.

Pre-release, preview, evaluation, trial, or beta functionality may be incomplete, unsupported, changed materially, or discontinued at any time and may contain errors. It is provided for evaluation only and should not be used for production, safety-critical, or legally regulated purposes unless a signed Service Agreement expressly permits that use.

12. Suspension and Termination

We may suspend or terminate your access immediately if we reasonably believe you violated these Terms, created risk or possible legal exposure, threatened Site security or integrity, failed to pay an amount due under an applicable agreement, or engaged in fraudulent or unlawful conduct. We may also terminate Site access for convenience. You may stop using the Site at any time. Termination does not affect accrued rights or obligations. Provisions that by their nature should survive will survive, including ownership, Feedback, disclaimers, limitations of liability, indemnification, dispute resolution, and general terms.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL SITE CONTENT AND FUNCTIONALITY ARE PROVIDED "AS IS," "AS AVAILABLE," AND WITH ALL FAULTS. YOUR USE IS AT YOUR SOLE RISK. JETCOMMERCETM AND ITS OWNERS, AFFILIATES, LICENSORS, SUPPLIERS, SERVICE PROVIDERS, AND EACH OF THEIR OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS (COLLECTIVELY, THE "JETCOMMERCETM PARTIES") DISCLAIM ALL WARRANTIES, REPRESENTATIONS, CONDITIONS, AND GUARANTEES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, SECURITY, AVAILABILITY, COMPATIBILITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

THE JETCOMMERCETM PARTIES DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED; THAT CONTENT OR RESULTS WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE; OR THAT THE SITE WILL MEET YOUR REQUIREMENTS. YOU ARE SOLELY RESPONSIBLE FOR APPROPRIATE SECURITY, BACKUPS, TESTING, AND SAFEGUARDS.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you. Any legally required warranty is limited to the shortest period and minimum scope permitted by law.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE JETCOMMERCETM PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, ENHANCED, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, REPUTATION, USE, OR DATA; BUSINESS INTERRUPTION; COST OF SUBSTITUTE GOODS OR SERVICES; OR SECURITY INCIDENTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF ALL JETCOMMERCETM PARTIES ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO JETCOMMERCETM FOR USE OF THE SITE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

The exclusions and cap apply to all claims in the aggregate, whether in contract, tort (including negligence), strict liability, statute, misrepresentation, restitution, or otherwise, and even if a remedy fails of its essential purpose. They do not limit liability to the extent a limitation is prohibited by applicable law. Liability relating to a paid product or service may instead be governed by the applicable Service Agreement.

15. Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless the JetCommerceTM Parties from and against all third-party claims, demands, investigations, proceedings, losses, liabilities, judgments, settlements, damages, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use or misuse of the Site; (b) your Submissions; (c) your violation of these Terms or applicable law; (d) your infringement, misappropriation, or violation of another person's rights; or (e) acts or omissions of anyone using your account or systems with your authorization or because of your failure to secure them.

JetCommerceTM may control the defense and settlement of an indemnified matter with counsel of its choice. You will cooperate as reasonably requested and may participate at your own expense. You may not settle a matter in a way that admits fault by, imposes obligations on, or fails to fully release a JetCommerceTM Party without JetCommerceTM's prior written consent. This section does not require a consumer to indemnify a JetCommerceTM Party to the extent prohibited by applicable law.

16. Dispute Resolution; Binding Individual Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHT TO GO TO COURT, HAVE A JURY TRIAL, AND PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION.

16.1 Informal Resolution

Before filing a claim, the complaining party must send the other party a written notice describing the claimant's name and contact information, the facts and legal basis of the dispute, and the specific relief requested. Notices to JetCommerceTM must be submitted through our Contact Us form and begin with "Notice of Dispute." The parties will attempt in good faith to resolve the dispute individually for 30 days after receipt. Any limitation period and filing deadline will be tolled during that 30-day period. This requirement does not prevent either party from seeking temporary injunctive relief to prevent immediate and irreparable harm.

16.2 Agreement to Arbitrate

Except for the exclusions below, any dispute, claim, or controversy arising out of or relating to the Site, these Terms, or the relationship between you and JetCommerceTM, including questions concerning formation, validity, scope, interpretation, or enforceability, will be resolved by final and binding arbitration on an individual basis. The Federal Arbitration Act governs this arbitration provision.

The arbitration will be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules then in effect because the Site is offered for business use. If the AAA determines that its Consumer Arbitration Rules apply, those rules will govern instead, including their fee provisions and due-process protections. If the AAA is unavailable or declines to administer the arbitration other than because a party failed to pay required fees or comply with applicable requirements, the parties will select another nationally recognized administrator; if they cannot agree, a court with jurisdiction will appoint one. There will be one neutral arbitrator. The arbitration may be conducted by video conference, telephone, document submission, or, if an in-person hearing is required, in Montgomery County, Texas, unless applicable rules or law require another location. The arbitrator may award any individual relief available in court that is not validly limited by these Terms, but may not consolidate claims or preside over a class, collective, coordinated, or representative proceeding except to the extent applicable law requires otherwise.

16.3 Exclusions

Either party may bring an individual action in a court of competent small-claims jurisdiction. Either party may seek temporary, preliminary, or permanent injunctive relief in court to prevent actual or threatened infringement, misappropriation, unauthorized access, or violation of intellectual-property, confidential-information, or security rights. A claim that cannot lawfully be arbitrated may be brought in court, but all arbitrable claims must be completed first to the extent permitted by law.

16.4 Class-Action and Jury-Trial Waivers

YOU AND JETCOMMERCETM AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, COORDINATED, MASS, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE ACTION. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND JETCOMMERCETM KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY FOR A DISPUTE ARISING OUT OF OR RELATING TO THE SITE, THESE TERMS, OR THE PARTIES' RELATIONSHIP.

If the class or representative waiver is finally held unenforceable as to a particular claim or request for relief after all appeals, that claim or request will be severed and decided by a court, and the remaining claims will be arbitrated. No arbitrator may conduct class or representative arbitration unless JetCommerceTM expressly agrees in a signed writing.

16.5 Arbitration Opt-Out

You may opt out of this arbitration agreement through our Contact Us form within 30 days after you first accept these Terms. Begin the message with "Arbitration Opt-Out." Your notice must include your full name, organization (if applicable), mailing address, account email address, and a clear statement that you opt out of arbitration under these Terms. Opting out of arbitration does not opt you out of any arbitration provision in a separate Service Agreement and does not affect the remaining Terms. If you validly opt out, Section 17 governs covered disputes.

17. Governing Law and Courts

The Federal Arbitration Act governs Section 16. Except for matters governed by federal law, these Terms and all disputes are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. For any dispute permitted to proceed in court, you and JetCommerceTM irrevocably consent to exclusive personal jurisdiction and venue in the state courts located in Montgomery County, Texas, or the federal courts having jurisdiction over Montgomery County, Texas. Each party waives objections based on venue or inconvenient forum.

To the maximum extent permitted by law, any claim arising from or relating to the Site or these Terms must be filed within one year after the claim accrued; otherwise, it is permanently barred. This limitations period does not apply where law prohibits contractual shortening of the period.

18. Compliance, Export, and Sanctions

You will comply with all laws applicable to your Site use, including U.S. export-control, economic-sanctions, anti-corruption, privacy, and data-protection laws. You represent that you are not located in, ordinarily resident in, or organized under the laws of a comprehensively sanctioned jurisdiction and are not a prohibited or restricted party. You will not access, use, export, reexport, transfer, or make the Site available in violation of applicable restrictions.

19. Changes to These Terms

We may update these Terms by posting revised Terms and changing the "Last Updated" date. Changes are effective when posted unless a later date is stated. Where required by law, we will provide additional notice. Your continued use after the effective date constitutes acceptance of the revised Terms. If you do not agree, stop using the Site. A material change to Section 16 will not apply retroactively to a dispute for which a party gave written notice before the change became effective. If we materially change Section 16, you may reject that change by following the opt-out procedure within 30 days after it becomes effective; the immediately prior arbitration provision will then govern.

20. General Terms

  • Entire agreement. These Terms and incorporated policies are the entire agreement concerning the Site and supersede prior or contemporaneous communications about the Site. Service Agreements remain separate and controlling as described in Section 2.
  • Assignment. You may not assign or transfer these Terms or any right under them without our prior written consent. We may assign these Terms, in whole or part, to an affiliate or in connection with a financing, merger, acquisition, reorganization, sale of assets, or by operation of law.
  • Severability. Except as specifically stated in Section 16, if a provision is held invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions remain in effect.
  • No waiver. A failure or delay in enforcing a provision is not a waiver. A waiver must be in writing and signed by the waiving party.
  • Force majeure. JetCommerceTM is not liable for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, utility or network failures, labor disputes, war, terrorism, civil unrest, government action, epidemics, cyberattacks, or failures of suppliers or service providers.
  • No third-party beneficiaries. These Terms do not create rights for anyone other than you and JetCommerceTM, except the JetCommerceTM Parties may enforce provisions that protect them.
  • Relationship. These Terms do not create a partnership, joint venture, agency, franchise, fiduciary, employment, or exclusive relationship.
  • Interpretation. Headings are for convenience only. "Including" means "including without limitation." Electronic copies and records are treated as originals to the extent permitted by law.
  • Nonwaivable rights. Nothing in these Terms waives or limits a right or remedy that cannot lawfully be waived or limited.
